Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the consignment platform operated by UNRIVALED SPORTS CO ("Unrivaled Portal," "we," "us") (the "Service"). By creating an account or using the Service, you agree to these Terms.

2. Eligibility

You must be at least 18 years old and legally able to enter binding contracts in your jurisdiction to use the Service.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized access.

4. Consignment and Sale Submissions

• You represent that you own the items you submit, that they are authentic, and that you have the right to consign or sell them.
• We review submissions and may accept, decline, or request changes at our discretion.
• Asking prices, listing terms, and commission or fee structures are as agreed between you and us in the Service or separately in writing.
• Once an item is sold, payout will be processed according to the payout schedule communicated to you.
• You may withdraw a submission prior to sale subject to any withdrawal terms we communicate.

5. Prohibited Conduct

• Submitting counterfeit, stolen, or misrepresented items.
• Attempting to access accounts, data, or systems you are not authorized to use.
• Interfering with or disrupting the Service, including via automated means.
• Using the Service to violate any law or third-party right.

6. Intellectual Property

The Service and all related software, branding, and content (excluding your submitted content) are owned by us or our licensors. We grant you a limited, non-exclusive, non-transferable license to use the Service as permitted by these Terms.

You retain ownership of content you submit. You grant us a non-exclusive, worldwide, royalty-free license to host, display, and distribute your submitted content solely as needed to operate the Service, list items, and fulfill transactions.

7. Fees and Payments

Any fees, commissions, or payout terms applicable to your use of the Service will be disclosed in the Service or communicated to you before they apply. Taxes are your responsibility unless otherwise required by law.

8. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, UNRIVALED SPORTS CO will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly, arising out of or in connection with your use of the Service. Our aggregate liability for any claim arising out of these Terms or the Service will not exceed the greater of (a) the fees paid or owed by you to us in the 12 months preceding the claim, or (b) USD $100.

10. Indemnification

You agree to indemnify and hold harmless UNRIVALED SPORTS CO and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your submitted content, or your violation of these Terms.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms. Provisions that by their nature should survive termination will survive.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, United States, without regard to conflict of laws principles. Any dispute arising out of these Terms or the Service will be resolved in the courts located in the State of New York, United States, and you consent to personal jurisdiction there.

13. Changes

We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use of the Service after changes constitutes acceptance of the updated Terms.
